Technology Due Diligence of a Digital Exchange

Middle East investment group

A Middle East investment group was assessing a UK-based digital exchange platform for acquisition and needed an independent read on whether the technology supported the investment case.

Scope of work

  • Architecture reviewed end to end across core components and system modularisation, with scalability, cloud infrastructure, traffic management and cost structure assessed, and actual infrastructure spend benchmarked against budgeted costs and vendor contracts.

  • Codebase assessed for quality and maintainability across core systems, with CI/CD pipelines, version control, container orchestration and deployment resilience evaluated.

  • Data and security reviewed, covering data architecture, encryption standards and inter-component security across the platform.

  • Compliance and resilience tested against the standards a regulated exchange must meet:

    • Cybersecurity controls, vulnerability management and prior penetration test results
    • GDPR and data protection compliance across systems and workflows
    • Operational metrics covering downtime, restore time and system reliability
  • Technical team evaluated on structure, capabilities and experience, with key skill gaps and execution risks identified.

Outcome and value

  • A decision-ready assessment delivered to the investment committee.
  • Scalability, cost and security opportunities identified across the platform.
  • Gaps presented with remediation actions across deployment, data governance and team capability.
  • Infrastructure spend tested against what the vendor contracts actually commit to.
