Business Transformation and Fund Raise
Communications technology business
A unified communications business operating across Asia, the Middle East and the US needed to consolidate its corporate structure ahead of a fund raise, and to build value before going to market. Its product set spanned APIs and SDKs, conferencing, instant messaging, an SMS gateway and contact centre software. ALP acted as sole adviser.
Scope of work
Corporate restructuring designed to support the fund raise and the expansion plan, with end-to-end implementation managed across legal and financial matters and entities aligned across the three regions the business operates in.
IP programme run end to end, which materially increased the value of the business:
- Potential IP identified across the product set, then documented and protected
- Filings completed covering patents, trademarks and copyrights
- A valuation firm appointed and the valuation process coordinated
- An IP strategy and culture established within the business
Market gap analysis conducted to match products to geographies and identify where the business could compete, as the basis for the rollout strategy.
Build or partner assessment, weighing the cost and return of in-house marketing and sales infrastructure in each identified jurisdiction against the alternative of partnering.
Partner identification, finding joint ventures that offered synergistic benefit and a recurring source of revenue, with the associated synergies assessed.
Outcome and value
- Company valuation increased severalfold through the programme.
- Annual recurring revenue increased and annual costs reduced.
- A registered IP portfolio established where none had been filed.
- A single adviser maintained across restructuring, IP and expansion through to close.
